General Terms and Conditions (GTC)

1. Scope

These General Terms and Conditions (GTC) apply to all orders placed through the online store operated by SCHRANZ SRL at https://schranz.shop.

The online store is intended for both consumers and business customers.

A consumer is any natural person who enters into a transaction for purposes that are predominantly outside their trade, business, craft or professional activity.

A business customer is any natural or legal person or legally capable partnership acting in the course of its commercial, business, craft or professional activity when entering into the contract.

Any conflicting or deviating terms and conditions of the customer shall only apply if SCHRANZ SRL has expressly agreed to them in writing.

3. Offer and Conclusion of Contract

The presentation of products in the online store does not constitute a legally binding offer but an invitation to the customer to submit an order.

The customer may initially place the desired products in the shopping cart without obligation and may review and correct the information entered at any time before submitting the binding order.

By activating the final order button, the customer submits a binding order for the goods contained in the shopping cart.

The final checkout button is labelled in a manner that clearly indicates that placing the order results in an obligation to pay.

After receipt of the order, the customer will automatically receive an order confirmation by email. This confirmation merely acknowledges receipt of the order and does not yet constitute acceptance of the contractual offer.

The purchase contract is concluded when SCHRANZ SRL:

  • expressly confirms the order;
  • sends a shipping confirmation; or
  • dispatches the ordered goods,

whichever occurs first.

SCHRANZ SRL reserves the right to reject an order, in particular in the event of non-availability of goods, obvious pricing or product errors, or justified doubts regarding the customer information provided. Any payments already received will be refunded without undue delay.


4. Prices and VAT

All prices are stated in euros (€).

Consumers

For orders placed by consumers, the total price applicable to the consumer, including legally applicable VAT, will be clearly displayed no later than before the order is completed in the checkout.

Any additional shipping costs will be shown separately.

Business customers

For business customers, prices may be displayed as net prices excluding applicable VAT.

The specific tax treatment depends in particular on the delivery country, the tax status of the customer and any valid VAT identification number provided by the customer.

The final total amount, including any applicable taxes and shipping costs, will be displayed before the binding order is submitted.

Cross-border deliveries are subject to the applicable VAT regulations.


5. Product Information and Images

The essential characteristics of the products offered are set out in the respective product descriptions in the online store.

Product images are for illustrative purposes. Slight differences in colour may occur due to different screen settings, lighting conditions or normal production-related variations.

In the case of textiles, minor customary variations in colour, texture, weight or dimensions may occur, provided that such variations do not materially impair the intended use of the product.


6. Delivery and Delivery Area

Delivery is available to European Union Member States supported by SCHRANZ SRL and selectable in the online store or checkout.

Unless otherwise stated for a particular product, the estimated delivery times are:

  • Italy, Austria and Germany: approximately 5–8 business days
  • other supported EU Member States: approximately 5–12 business days

The stated delivery times are estimates.

If an ordered product is temporarily unavailable or delivery is significantly delayed, the customer will be informed as soon as possible.

In the event of permanent unavailability, SCHRANZ SRL may withdraw from the contract. Any payments already made will be refunded without undue delay.


7. Shipping Costs

Shipping costs depend on the delivery country and the order value and will be displayed to the customer in the checkout before the order is completed.

For deliveries to Italy, Austria and Germany, shipping is free for orders with a value of €500.00 or more, unless otherwise expressly stated in the online store.

For deliveries to other supported EU Member States, the shipping costs displayed in the checkout apply.


8. Payment Methods

The payment methods actually available will be displayed to the customer in the checkout before the order is completed.

Depending on the country, customer and order value, the following payment methods may in particular be available:

  • Visa
  • Mastercard
  • Maestro
  • American Express
  • Apple Pay
  • Google Pay
  • Shop Pay
  • Klarna
  • UnionPay

There is no entitlement to the availability of a specific payment method.

Certain payment methods may be offered and processed by external payment service providers. Their respective terms and conditions may additionally apply.


9. Payment Due Date and Default

Unless otherwise stated for the relevant payment method, the purchase price is due immediately upon conclusion of the contract.

Separate payment terms may be agreed with business customers, in particular payment by invoice subject to an agreed payment term.

In the event of late payment, the applicable statutory provisions shall apply.


10. Retention of Title

The delivered goods remain the property of SCHRANZ SRL until the purchase price has been paid in full.

In relation to business customers, the goods may additionally remain the property of SCHRANZ SRL until all due claims arising from the relevant business relationship have been settled in full, to the extent permitted by applicable law.


11. Statutory Warranty

The applicable statutory warranty and consumer protection rights shall apply.

For consumers, this includes in particular the mandatory statutory provisions relating to the conformity of goods.

Business customers are required to inspect delivered goods within a reasonable period after receipt for obvious transport damage, quantity discrepancies and identifiable defects and are requested to notify SCHRANZ SRL of any such defects promptly.

Mandatory statutory rights and provisions remain unaffected.

To the extent permitted by law, the warranty does not cover damage occurring after delivery as a result of improper use, failure to follow care instructions, normal wear and tear or improper handling.


12. Transport Damage

If goods are delivered with obvious transport damage, customers are requested, where possible, to report such damage directly to the carrier and to contact SCHRANZ SRL.

For consumers, failure to report such damage immediately does not affect their statutory warranty rights.


13. Consumer Right of Withdrawal

Consumers generally have a statutory 14-day right of withdrawal in relation to distance contracts.

For sales contracts, the withdrawal period generally begins on the day on which the consumer or a third party designated by the consumer, other than the carrier, takes physical possession of the goods.

Where several goods ordered together are delivered separately, the period generally begins upon receipt of the last item.

To exercise the right of withdrawal, the consumer must inform SCHRANZ SRL of their decision to withdraw from the contract by means of an unequivocal statement.

Further details regarding conditions, deadlines, returns and refunds are set out in the separate Withdrawal Policy available in the online store.

Business customers do not have a statutory right of withdrawal.


14. Exceptions to the Right of Withdrawal

The statutory right of withdrawal does not apply or may expire prematurely where a statutory exception applies.

This may particularly concern goods:

  • made to the customer’s specifications;
  • clearly personalised to the customer’s individual requirements; or
  • covered by another statutory exception to the right of withdrawal.

Whether such an exception applies depends on the characteristics of the relevant product and the applicable statutory provisions.

Simply selecting a standard variant, colour or size that is ordinarily offered does not automatically exclude the right of withdrawal.


15. Returns Following Withdrawal

In the event of a valid withdrawal, the consumer must generally return the goods within 14 days of notifying SCHRANZ SRL of the withdrawal, unless SCHRANZ SRL has offered to collect the goods.

The consumer bears the direct cost of returning the goods unless otherwise stated in the online store or Withdrawal Policy.

The consumer shall only be liable for any diminished value of the goods resulting from handling beyond what is necessary to establish the nature, characteristics and functioning of the goods.


16. Refund Following Withdrawal

In the event of a valid withdrawal, SCHRANZ SRL will refund the payments received from the consumer, including the cost of the least expensive standard delivery method offered, generally no later than 14 days after receipt of the withdrawal notice.

The refund will normally be made using the same payment method used for the original transaction unless expressly agreed otherwise.

For sales contracts, SCHRANZ SRL may withhold the refund until the goods have been received back or until the consumer provides evidence that the goods have been returned, whichever occurs first.

Additional costs resulting from the consumer expressly choosing a delivery method other than the least expensive standard delivery option offered do not have to be reimbursed.


17. Liability

SCHRANZ SRL shall be liable in accordance with mandatory statutory provisions.

Any limitation of liability shall in particular not apply in cases of intent or gross negligence or to damage resulting from injury to life, body or health where liability may not legally be limited.

In relation to business customers, liability for slightly negligent breaches of essential contractual obligations may, to the extent permitted by law, be limited to foreseeable damage typical of the contract.

Mandatory statutory liability provisions, including product liability rules, remain unaffected.


18. Data Protection

Information concerning the nature, scope and purpose of the processing of personal data can be found in the current Privacy Policy available at https://schranz.shop.


19. Applicable Law

The law of the Republic of Italy shall apply, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG), to the extent that such exclusion is legally permissible.

For consumers, this choice of law applies only insofar as it does not deprive the consumer of the protection afforded by mandatory provisions of the country in which the consumer has their habitual residence.


20. Jurisdiction

Mandatory statutory jurisdiction rules apply to consumers.

In relation to business customers, to the extent permitted by law, the courts at the registered office of SCHRANZ SRL in Merano (BZ), Italy shall have jurisdiction.

Mandatory statutory jurisdictions remain unaffected.


21. Dispute Resolution

The applicable statutory provisions regarding alternative dispute resolution apply to disputes involving consumers.

The former European Commission Online Dispute Resolution platform (ODR platform) has been discontinued and is therefore no longer referred to as a dispute resolution body or contact option.


22. Final Provisions

If individual provisions of these General Terms and Conditions are or become wholly or partially invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.

The applicable statutory provisions shall replace any invalid or unenforceable provision.
